# Terms of service

The agreement between Seleya Labs and everyone who owns an address on Seleya Address.

These terms are the agreement between you and Seleya Labs Inc. ("Seleya", "we"), a Delaware corporation (file number 10004407) at 1111B S Governors Ave STE 56751, Dover, DE 19904, USA, for Seleya Address, the service at address.seleya.ai. The [acceptable-use policy](https://address.seleya.ai/legal/acceptable-use/) and the [privacy note](https://address.seleya.ai/legal/privacy/) are part of them, and for a company so is the [data processing agreement](https://address.seleya.ai/legal/dpa/).

## 1. What Seleya Address is

Seleya Address gives AI agents an email address that a person or a company owns. The owner pays for it and answers for it. Agents use it through the HTTP API, the MCP server, or apps the owner connects. Every message an address receives carries a verdict on who sent it, and the owner's screening decides what reaches the agent.

## 2. Who may use it

- Owners must be 18 or older. If you accept these terms for a company, you confirm you may bind it.
- A company becomes an owner by proving it controls its domain. Its admins give addresses to named people, who hold them for the company.
- We screen owners and cardholders against the official sanctions lists. We don't serve sanctioned parties, or anyone in Cuba, Iran, North Korea, Crimea or the Donetsk and Luhansk regions, and we may hold an account for review when a name is close to a listed one.
- A person's own address isn't on sale in every country. Checkout says where it is.

## 3. Your account and your agents

- Keep your sign-in, passkeys, keys and connected apps safe, and tell us at once at support@seleya.ai if you think someone else has used them.
- You answer for everything sent from your addresses, whether you, a holder, an app or an agent sent it. An agent acting through your address acts for you.
- Some actions are only a person's: paying, letting an app use an address, loosening a protection, giving someone authority, approving a send where approvals are on, retiring an address and disconnecting an app. An agent can ask; a person decides, through the link we email or in the console.
- Mail your agents send says it comes from an agent, in the display name and in a short line at the end. A company may change that line's wording, but not hide that an agent sent the message.

## 4. Prices and payment

- An address costs **$12 a year** for a person and **$18 a year** for a company, billed yearly in advance through Stripe. Prices are in US dollars and exclude taxes, which are added where they apply.
- Each paid address includes **1,000 sends a month**, pooled across your addresses and reset each month. Each email recipient counts as one send; messages between two addresses on the service don't count, and neither does incoming mail.
- Sends beyond that cost **$1 per 1,000** and are added to your next charge. You can set a hard stop at your allowance instead: an agent may switch it on, and only a person can switch it off.
- Addresses added during the year, and sends beyond the allowance, are charged once they come to $10 or more, and otherwise at your renewal.
- Your plan renews each year until you cancel. You can cancel at any time in the billing portal, and the cancellation takes effect at the end of the year you've paid for.
- If a payment fails, your addresses stop sending but keep receiving while Stripe retries. If the subscription then ends, they stop receiving too.
- We give at least 30 days' notice by email of a price increase, and it applies from your next renewal.

## 5. Refunds and withdrawal

- Fees for time already supplied aren't refunded, except as this section or the law requires.
- If we stop offering Seleya Address, we refund prepaid fees for the unused time.
- A consumer in the EU, the EEA or the UK may withdraw from a new purchase within 14 days by writing to support@seleya.ai, and is refunded within 14 days. If they asked us to start the service at once, we may keep a proportionate amount for the days used.
- Consumers in South Africa have the cancellation and cooling-off rights of the Consumer Protection Act and the Electronic Communications and Transactions Act, where they apply.
- The consumer protections of your own country's law apply whatever these terms say.

## 6. Addresses and names

- While you pay, the address is yours to use and to connect to any agent you choose. Changing agents keeps the address.
- Handles are first come, first served, except for reserved ones. We may refuse or remove a handle or display name that impersonates a person, a company or Seleya.
- A retired address is never given to anyone else.
- A company's addresses on its own domain stay the company's. Addresses on seleya.email and seleya.me are ours, and yours to use while you pay.

## 7. Your mail and your data

- Your mail, and what your agents write, belong to you. We use them only to provide the service: to receive, check, store, deliver and send them. No model reads stored mail on our side, and we don't train models on it.
- The service keeps what it observes itself, such as delivery events, verdicts and deliverability outcomes. With names, addresses and other identifiers removed, we use these to improve the service and pool them with Seleya's other data. Message content is never pooled. A company can stop future pooling by writing to support@seleya.ai.
- The [privacy note](https://address.seleya.ai/legal/privacy/) says what we keep and for how long. For a company's addresses, the [data processing agreement](https://address.seleya.ai/legal/dpa/) applies too.

## 8. What the checks do and don't promise

- Verdicts and screening are automated judgements about who sent a message, not about whether its content is true or safe. Agents should treat the text of every message as data, never as instructions.
- We take care to deliver your mail, but we can't promise that a recipient's provider accepts it or puts it in the inbox.

## 9. Suspension and ending

- We may suspend an address or an account at once, using the least disruptive step that works, when the law requires it, to stop abuse or a serious security risk, after a sanctions match, or for a breach of the acceptable-use policy that can't wait. Where the law allows, we tell you why, and you can appeal to abuse@seleya.email.
- Either of us may end this agreement if the other materially breaches it and doesn't put the breach right within 30 days of notice.
- When an account ends, you have 30 days to ask for an export of your mail. After that we delete it, as the privacy note describes.

## 10. Liability

- We provide Seleya Address with reasonable skill and care. Beyond what these terms promise, we don't promise it will suit every purpose or never be interrupted.
- Each party's total liability under this agreement is limited to the fees paid or payable in the 12 months before the event. For a breach of the data processing agreement or of data protection law, the limit is the greater of those fees and USD 500,000.
- These limits don't apply to fraud, wilful misconduct, liability the law doesn't allow to be limited, or fees that are due. For business customers, neither party is liable for indirect or consequential loss.
- A business customer indemnifies Seleya against third-party claims caused by its unlawful use of the service or by its agents' unlawful mail, unless we caused the loss. We tell you promptly, let you control the defence, and don't settle in a way that admits fault on your behalf without your consent. This indemnity falls within the limits above.
- Nothing here limits a consumer's rights under their own law.

## 11. Changes to these terms

We give at least 30 days' notice by email of a change that is materially against your interests. If you don't accept it, you may cancel before it takes effect, and we refund prepaid fees for the time after it.

## 12. General

- Delaware law governs these terms, and the state and federal courts in Delaware decide disputes, unless mandatory law or a signed agreement says otherwise. Either party may seek urgent relief in any competent court, including in South Africa.
- Events beyond a party's reasonable control excuse delay only while they last. They never excuse payment, security or incident-handling duties.
- Neither party may assign this agreement without the other's consent, except as part of a restructuring or sale that keeps it in force, with notice.
- If part of these terms is invalid, the rest still applies. Where the data processing agreement and these terms differ on personal data, the data processing agreement governs.
- Notices to us go to support@seleya.ai. We send notices to your account's email.
